Terms & Conditions
Last updated: May 2026
These Terms and Conditions ("Terms") govern your use of this website and any engagement of services with John Carlo Caintic ("Provider," "I," "me"). By using this website or engaging Provider for Services, you ("Client," "you") agree to these Terms.
1. About this website
This website is a portfolio and informational site. The content, sample works, blog posts, services described, and example metrics, is for general informational purposes. Engagement-specific terms are governed by a separate written engagement agreement.
2. Engagement scope
All paid Services are scoped in writing prior to commencement. A typical engagement includes:
- A written scope of work describing deliverables, timeline, and pricing.
- Payment terms (typically a deposit upfront and remainder on milestones).
- Acceptance criteria for each deliverable.
No work begins until a written engagement agreement is countersigned and the deposit is received.
3. Payment
Invoices are payable in the currency and schedule specified in the engagement agreement. Late payment may suspend ongoing work and incur late fees as specified in that agreement.
4. Intellectual property
Upon full payment, Client receives ownership of the custom deliverables produced under the engagement (workflows, code, configurations, documentation, GoHighLevel automations, and similar). Provider retains ownership of pre-existing tools, frameworks, and reusable components used in delivery, licensed to Client for use in the delivered system.
Provider may reference the engagement publicly (anonymized if requested) for portfolio and sample-work purposes unless explicitly excluded in writing.
5. Confidentiality
Provider treats all Client business information, credentials, customer data, and operational details received during an engagement as confidential. Confidential information will not be disclosed to third parties except as required to deliver the Services or by law.
6. Warranties & disclaimers
Provider warrants that Services will be performed in a professional manner consistent with industry practice. Provider does not warrant that Services or deliverables will be error-free, uninterrupted, or that any specific business outcome (e.g., revenue increase, cost reduction) will be achieved.
Examples, metrics, and outcomes shown on this website are illustrative of past projects and not guarantees of future results.
7. Limitation of liability
To the maximum extent permitted by law, Provider's total liability arising out of or related to an engagement shall not exceed the fees paid by Client under that specific engagement in the 6 months preceding the claim. Provider is not liable for indirect, incidental, consequential, or punitive damages.
8. Third-party platforms
Many Services depend on third-party platforms (e.g., GoHighLevel, n8n, Make, Zapier, OpenAI, Anthropic, Twilio, VAPI, Retell). Provider is not responsible for outages, pricing changes, deprecations, or policy changes by these third parties. Client is responsible for maintaining its own accounts and subscriptions on those platforms.
9. Termination
Either party may terminate an engagement under the terms of the engagement agreement. Upon termination, Client pays for all work completed through the termination date, and Provider delivers all completed work product produced and paid for.
10. Governing law
These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-law principles. Any dispute will be resolved through good-faith negotiation first, and if unresolved, through arbitration or the courts of Manila, Philippines.
11. Changes to these Terms
Provider may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date. Continued use of the website or ongoing engagement after a change constitutes acceptance of the updated Terms.
